Unlike an ordinary license agreement, an exclusive patent license is a powerful legal mechanism that effectively transfers exclusive business rights within a defined scope.

What is exclusive license?
An exclusive patent license grants the right to work a patented invention exclusively within the scope authorized by the patent holder.
The right is granted exclusively to one licensee. Within the licensed scope, third parties and even the patent holder cannot work the patented invention.
The scope of an exclusive license can be defined by the following criteria.
- Specific regions (e.g. throughout the Republic of Korea)

Legal powers of an exclusive licensee
An exclusive patent license has a legal character comparable to a right in rem, rather than merely a contractual claim.
- Direct Infringement Response Rights:If a third party infringes the patent, the exclusive licensee can seek an injunction and damages in its own name without acting through the patent holder.
- Position comparable to ownership: Within the scope of the setting, you will in fact have legal protections similar to those of the patent holder.
- Value as an asset:The license may be transferred or pledged, making it useful in business strategies such as securing loans or attracting investment.
Exclusive license setup structure and registration procedure
Unlike an ordinary contract, an exclusive patent license takes effect only upon registration. Signing an agreement alone does not establish the license legally; registration with the patent office is required.
If you do not register your license, you will not be able to claim your rights to a third party because the exclusive license itself is not valid, and the investment and business contract structure will be destroyed.

Depending on the scope setting, the exclusive scope of the business is determined, so the scope must be specific, such as region, duration, and form of implementation. If this part is obscured, business monopolies can be weakened or disputes can arise.
2. Dependence on the underlying patent
An exclusive license depends on the underlying patent and lasts only while it remains in force. Review the patent’s expiry date and invalidity risks when allocating liability and compensation.

- “The patent holder no longer has any rights.”
→ No. You can still exercise your rights outside of the scope of the exclusive license.
